You must accept the terms of this Licence Agreement before you use the Intellectual Property provided on this World Wide Web site.
This is a legal agreement between you and Panorama Antennas Limited, Frogmore, London SW18 1HF. BY OPENING THIS WORLD WIDE WEB SITE YOU ARE AGREEING TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT USE THE INTELLECTUAL PROPERTY ON THIS WORLD WIDE WEB SITE.
1. Definition:
In this Agreement, "Intellectual Property" shall have the following meaning: ANY DRAWING OR ILLUSTRATION OF THE PRODUCTS SUPPLIED BY THE LICENSOR TO THE LICENSEE.
2. Recitals:
2.1. Licensor. Panorama Antennas Limited (PAL) of Frogmore, Wandsworth, London, SW18 1HF is the sole owner of the Intellectual Property contained in this web site and has a right to grant licences thereof.
2.2 Licensee. You have requested a licence to use the Intellectual Property in order to distribute the products manufactured by PAL, which has agreed to grant a licence on the terms set out in this Agreement.
3. Term:
This Agreement shall continue until terminated by PAL.
4. Use and Protection of Intellectual Property:
4.1. No copyright material comprised in the Intellectual Property may be altered or amended by the Licensee without the written consent of PAL. No artwork other than that comprised in the Intellectual Property shall be used in relation to any of the products without the prior written consent of PAL. No copyright material comprised in the Intellectual Property may be used in connection with the manufacture, distribution or marketing of any goods other than the products for which the use of such material is specified.
4.2. The Licensee recognises PAL's title to the Intellectual Property, and shall not claim any rights, title or interest in the Intellectual Property or any part of it save as is granted by this Agreement.
4.3. The Licensee shall not use any of the Intellectual Property as part of the Licensee's name or the name of any entity associated with it nor register or use any of the Intellectual Property in its own name as proprietor.
4.4. The Licensee shall hold all goodwill generated by its operations under this Agreement as bare trustee for the benefit of PAL.
4.5. Any designs or other works derived by the Licensee for the Intellectual Property, or any part of it, shall be held by it as bare trustee for PAL, and at PAL's request shall be assigned to it without compensation.
4.6. The Licensee shall not use any part of the Intellectual Property in a manner which might amount to infringement or passing off, and the Licensee shall call to the attention of PAL the use of any part of the Intellectual Property by any third party or any activity of any third party which might amount to infringement or passing off or breach of this Agreement.
5. Licensee not to use Panorama Antennas' Name:
The Licensee shall not, except with the prior written consent of PAL, make use of the name of Panorama Antennas in any connection otherwise than is expressly permitted by this Agreement.
6. Termination:
This Agreement may be terminated by PAL giving to the Licensee not less than one week's notice. Notice shall be sent by prepaid post or facsimile transmission to the Licensee's Registered Address, and shall be deemed received within 24 hours of posting or transmission.
7. Governing Law:
This Agreement shall be governed by the law of England and Wales.
8. Indemnity:
The licensee agrees to indemnify and keep fully indemnified PAL from and against any claims, actions, proceedings, costs, awards and damages whatever incurred or arising against PAL in respect of or arising out of any breach by the Licensee of the Agreement.
